Sales conditions
 
  1. General
    The execution of each order is subject to our sales conditions outlined below. Unless covered by special written agreement, purchasing conditions of the customer which contradict the terms of our sales conditions are not binding on us even though we have not specifically opposed their contents.
     
  2. Extent of Delivery
    This is stipulated in our written confirmation. Verbal agreements must be confirmed in writing by us.
     
  3. Price
    EXW Schötz unpacked following Incoterms 2000.
    Changing currency conditions as well as increased wages and material costs entitle us to adapt our prices accordingly. Such price increase is to be advised to the customer 30 days before dispatch of the goods takes place.
     
  4. Payment
    The terms of payment are as stated in the written order confirmation. Overdue payments entitle us to invoice interest on arrears.
     
  5. Reservation of Ownership
    We retain ownership of the goods delivered until complete payment and all other sales conditions have been met.
     
  6. Delivery
    Delay in delivery does not authorise the purchaser to file indemnity claims for damages incurred nor to withdraw from the purchasing contract.
     
  7. Transfer of Risk
    The risk is transferred to the purchaser upon dispatch of the goods from the producer's plant even though free delivery to the purchaser may have been agreed upon.
     
  8. Guarantee
    a) It applies for a period of one year beginning with the invoice date.
    b) It covers fabrication and material defects and the damages on the furnished goods
        themselves which are  the result of production defects. Repair works or other
        addition activities are not covered.
    c) The term of guarantee of parts replaced shall cover only the unexpired period of
        the original guarantee. On  a guarantee basis replaced material is to be returned
        prepaid to our plant.
     
  9. Withdrawal from the Order
    In case of force majeure or impossibility of completing the order, we reserve the right to withdraw entirely or partially from the contract. In the exercise of the right, the purchaser is to be notified immediately after such circumstances have been recognised. The purchaser may not claim indemnity because of such filed.
     
  10. Jurisdiction
    In disputes arising from this contract, suit for claims can be submitted at Schötz only. Any disputes arising from our deliveries are fully subject to Swiss law.
     
  11. Acceptation
    With the acceptation of our order confirmation the purchaser does fully accept the present sales conditions.
